The Usual · B2B Standing Orders

Terms of Service

The agreement between Nexus Logic Systems and the merchant who installs The Usual. Installing the app means accepting these terms.

Effective 28 September 2026 Version 1.2 Nexus Logic Systems

The short version

1. The service

The Usual: B2B Standing Orders ("the app") is a Shopify application published by Nexus Logic Systems ("we", "us"). It lets a merchant save a Shopify B2B company location's recurring order once, and places that order on a schedule the merchant sets.

The app works only with Shopify B2B: it needs companies, company locations and company contacts in the store. It does not sell anything, hold funds, or take payment from your customers.

2. Your account

You reach the app through your Shopify admin, so your Shopify account is your account with us. You are responsible for who in your organisation can open it. We create no separate login and issue no separate password.

3. Your responsibilities

4. Orders the app places

When a scheduled order is due, the app prices it in the buyer's catalog and checks it before creating anything. If an item is unavailable or out of stock, if the price or currency has changed since the last order, if the total is zero, if the location has no payment terms, or — when you turn on the credit hold — if the location has an overdue invoice among the orders Shopify lets the app read (those from the last 60 days), the app holds the order and tells you why instead of placing it.

Those checks are a safety net, not a guarantee. You remain responsible for the orders placed in your store, including their contents, prices, taxes and fulfilment. Review the orders the app creates as you would any other.

If you choose review mode, the app creates a draft and places nothing until you complete it. If you choose to place on payment terms, the app completes the draft into a real order carrying the location's own terms.

A buyer's "Make this my usual" request is only a request: nothing is scheduled until you review it and create the standing order yourself.

Reminder emails can carry a link that opens that one order without signing in, so the buyer can confirm, change or skip it before its deadline, as your buyer settings allow. Whoever holds the email can use the link, and changes made with it are recorded as the buyer's. If you require a confirmation and the buyer, once asked, doesn't give it by the deadline, the app skips that order and tells you; if the buyer couldn't be asked, it holds the order for you instead.

5. Billing

The app is sold through Shopify App Pricing. You choose a plan in your Shopify admin, and Shopify charges it to your Shopify bill. We never see or store your payment details.

If prices change, existing subscribers keep their current price for as long as their subscription runs uninterrupted.

6. Availability

We aim to keep the app running continuously, because orders are time-based. We do not promise a specific uptime percentage.

The app depends on Shopify's Admin API. If Shopify is unavailable or rejects a request, an order may be delayed. The app retries with increasing gaps and records what happened, so a temporary outage delays an order rather than losing it.

We may take the service down for maintenance. Where a planned interruption could affect scheduled orders, we will give notice by email first.

7. Data protection

You are the controller of your store's data and we are your processor. We handle personal data only on your instructions and only to run the app for you.

The Privacy Policy forms part of these terms and sets out exactly what the app reads, what it stores, how long, and how it is deleted. In short: the app stores identifiers and an order audit trail, and never writes customer names, addresses, phone numbers or email addresses to its database.

When you uninstall, Shopify sends a shop redaction request and we delete everything we hold for your store.

8. Intellectual property

The app, its name and its interface belong to Nexus Logic Systems. Installing it gives you the right to use it while you are subscribed, and nothing more. Your store's data, your catalog and your orders remain entirely yours.

9. Warranties

The app is provided as it is. We do not warrant that it will be uninterrupted or error-free, nor that it will fit a purpose you have not told us about. Nothing here excludes a warranty that the law does not allow us to exclude.

10. Liability

To the extent the law allows, our total liability for any claim arising from the app is limited to the amount you paid us for it in the twelve months before the claim.

We are not liable for indirect or consequential loss, including lost profit, lost sales or loss of goodwill.

We are not liable for orders placed according to a configuration you set, for prices, stock or payment terms held in your Shopify store, or for a failure caused by Shopify's own systems.

Nothing here limits liability for fraud, or for anything else the law does not permit us to limit.

11. Cancellation

Uninstall the app whenever you like. There is no notice period and no minimum term. On uninstall, scheduled orders stop and your data is deleted.

We may suspend or end access if the app is used unlawfully, in a way that harms other merchants or our infrastructure, or in breach of these terms. Where circumstances allow, we will warn you first.

12. Changes to these terms

If these terms change, the effective date and version at the top of the page change with them. A change that materially affects your rights will be announced to installed merchants before it takes effect. Continuing to use the app after that means accepting the new terms.

13. Governing law

These terms are governed by the laws of the State of [STATE], United States, without regard to conflict-of-law rules. The courts of that state have exclusive jurisdiction, except that either party may seek injunctive relief wherever necessary to protect its intellectual property.
