01Who we are
True COGS is operated by Nexus Logic Systems ("we", "us", "our"), based in Oran, Algeria. You can reach us at support@nexuslogicsystems.com.
In these terms, "the app" or "the service" means the True COGS application distributed through the Shopify App Store, together with any related web pages, APIs and integrations we provide. "You" means the merchant who installs the app, and any person you authorise to use it on your behalf.
02Acceptance of these terms
By installing or using True COGS you agree to these terms. If you do not agree, do not install the app, and uninstall it if it is already installed.
If you are agreeing on behalf of a company or other legal entity, you confirm you have authority to bind that entity, and "you" refers to it.
Your use of Shopify remains governed by your agreement with Shopify. These terms cover only your relationship with us.
03What the service does
True COGS records what you paid for inventory, maintains a history of those costs, and derives figures such as weighted average cost, FIFO valuation, margin, cost of goods sold and net profit from that history. Net profit also deducts payment fees, shipping, recurring costs and advertising spend, taken from Shopify or from rates and amounts you enter.
The app reads inventory, product, order and related data from your Shopify store through Shopify's APIs, with the permissions you grant at install. It may also write a product's cost back to Shopify, as described below.
Purchase-order prices are recorded automatically. When stock from a Shopify purchase order arrives, the price on that purchase order is recorded in your cost history and the resulting cost is written to Shopify. Other costs — for example stock transfers, supplier documents and bills from connected accounting systems — are prepared for your review and are recorded only when you confirm them.
We develop the app continuously. Features may be added, changed or withdrawn. Where a change materially reduces functionality you rely on, we will make reasonable efforts to tell you in advance.
04Your account and responsibilities
You are responsible for:
- the accuracy of the costs and other figures you enter or confirm;
- keeping your Shopify account and any connected accounts secure;
- the actions of staff and collaborators you give access to;
- reviewing the app's output before relying on it for accounting, tax or financial reporting.
The app derives its figures from the data available to it. Where that data is incomplete — for example, where a cost was never recorded, or stock moved outside Shopify — the derived figures will reflect that. The app states such limits where it can identify them, but it cannot know what it was never told.
05Plans, billing and refunds
True COGS offers a free plan and paid plans. Current plans and prices are shown on our pricing page and in the Shopify App Store listing.
All billing is handled by Shopify through its Billing API, under the terms of your Shopify account. Charges appear on your Shopify invoice. We do not process or store your payment card details.
Paid plans renew automatically for the period you selected until you cancel. You may change or cancel your plan at any time from the app or from your Shopify admin; cancellation takes effect at the end of the current billing period, and access to paid features ends then.
Refunds are handled according to Shopify's policies. If you believe you have been charged in error, contact us and we will work with you in good faith to resolve it.
We may change our prices. Changes will not affect the period you have already paid for, and we will give reasonable notice before a change takes effect for you.
06Your data
You retain ownership of your data. We process it to provide the service, as described in our Privacy Policy, which forms part of these terms.
The cost history the app builds is yours. Export functions are provided so you can take that history with you, and we recommend exporting periodically as your own record.
When you uninstall the app, we delete or anonymise your data in accordance with our Privacy Policy and applicable law, including Shopify's mandatory data-redaction requirements. Export anything you wish to keep before you uninstall.
We may use aggregated, de-identified information that cannot reasonably be linked to you or your customers to operate and improve the service.
07Connected services
The app can connect to third-party services you authorise — for example an accounting system such as QuickBooks Online or Xero — in order to read documents such as supplier bills.
- We request the narrowest permissions the feature needs.
- We access only the records needed to prepare costs for your review.
- You can disconnect at any time from within the app, and doing so withdraws our access at the provider as well as in our systems.
Your use of a connected service remains governed by your agreement with that provider. We are not responsible for their availability, accuracy or conduct, and a change on their side may affect the corresponding feature here.
08Acceptable use
You agree not to:
- use the service unlawfully, or to infringe anyone's rights;
- attempt to gain unauthorised access to the service, other merchants' data, or our infrastructure;
- probe, scan or test the vulnerability of the service without our prior written consent, or circumvent its security or rate limits;
- reverse engineer, decompile or attempt to derive the source code of the service, except to the extent this restriction is prohibited by law;
- resell, sublicense or provide the service to third parties as your own;
- use the service in a way that imposes an unreasonable load on our systems or interferes with other merchants' use of it.
If you discover a security issue, we would rather hear from you than not: please write to support@nexuslogicsystems.com and give us a reasonable opportunity to fix it before disclosing it.
09Availability and support
We aim to keep the service available and correct, but we do not guarantee uninterrupted access. The service may be unavailable during maintenance, or because of failures at Shopify, our hosting or database providers, or other services outside our control.
Support is provided by email at support@nexuslogicsystems.com. We do not offer a contractual service level or response time, though we answer as promptly as we reasonably can.
10Not professional advice
True COGS is a record-keeping and calculation tool. It is not an accountant, a tax adviser or an auditor, and nothing it produces is accounting, tax, legal or financial advice.
Inventory valuation methods and their tax treatment differ between jurisdictions and can have significant consequences. You are responsible for choosing the method appropriate to your business and for the accuracy of figures you file or report. Consult a qualified professional before relying on the app's output for statutory accounts, tax returns or an audit.
11Warranties and disclaimers
To the fullest extent permitted by law, the service is provided "as is" and "as available", without warranties of any kind, whether express, implied or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement.
We do not warrant that the service will be uninterrupted, error-free, or that its output will be free of inaccuracies, or that defects will be corrected.
Some jurisdictions do not allow the exclusion of certain warranties. Where that is so, the exclusions above apply only to the extent permitted, and you may have additional rights that these terms do not affect.
12Limitation of liability
To the fullest extent permitted by law, neither we nor our suppliers will be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or relating to your use of or inability to use the service, whether based in contract, tort, or any other legal theory, and whether or not we were advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising out of or relating to these terms or the service will not exceed the greater of (a) the amounts you paid us for the service in the twelve months before the event giving rise to the claim, or (b) fifty US dollars (US$50).
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud, or for death or personal injury caused by negligence.
13Indemnity
You agree to indemnify and hold us harmless from any claims, damages, liabilities and reasonable legal costs arising from your breach of these terms, your misuse of the service, or your violation of any law or third-party right.
14Intellectual property
The service, including its software, design, documentation and the True COGS name and logo, is owned by Nexus Logic Systems and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the service for your own business while these terms are in force. No other rights are granted.
Third-party names and marks — including Shopify, Intuit, QuickBooks and Xero — belong to their respective owners and are used here only to identify those services.
If you send us feedback or suggestions, we may use them without obligation or compensation to you.
15Suspension and termination
You may stop using the service at any time by uninstalling it from your Shopify admin. Uninstalling cancels any recurring charge from the end of the current billing period.
We may suspend or terminate access if you materially breach these terms, if required by law or by Shopify, or if your use threatens the security or integrity of the service. Where circumstances reasonably allow, we will contact you first and give you an opportunity to put things right.
We may also discontinue the service. If we do, we will give reasonable notice so that you can export your data.
Sections that by their nature should survive termination — including sections 6, 10, 11, 12, 13, 14 and 17 — continue to apply afterwards.
16Changes to these terms
We may update these terms as the service develops or the law requires. The date at the top of this page shows when they last changed.
For material changes we will give reasonable notice — by email or in the app — before they take effect. Continuing to use the service after a change takes effect means you accept the updated terms. If you do not accept them, uninstall the app.
17Governing law and disputes
These terms are governed by the laws of Algeria, without regard to conflict of law rules, and the courts of Oran, Algeria have exclusive jurisdiction over any dispute arising from them.
If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory provisions of the law of your country of residence.
If any provision of these terms is held unenforceable, the rest remains in force and the unenforceable provision is modified only so far as necessary. Our failure to enforce a provision is not a waiver of it.
These terms, together with our Privacy Policy, are the entire agreement between you and us regarding the service.
